1. Description of Service

Kairox Talent360 is an AI-powered talent acquisition and recruitment operations platform. The Service includes features such as automated resume ingestion, Agentic AI-led conversational interviews, semantic matching, identity and fraud verification, and predictive analytics.

Kairox provides the Service strictly as an assistive technology tool. Kairox is not an employment agency or employer with respect to your candidates.

2. Customer Responsibilities

• •Lawful Hiring Practices: You agree to use the Service in strict compliance with all applicable local, state, national, and international laws, including employment and anti-discrimination laws.
• •Candidate Consents: You are solely responsible for providing all necessary privacy notices and obtaining legally required consents from candidates before using the Service to process their data or verify their identities.
• •Prohibited Conduct: You shall not reverse engineer the Service, use it to train competing AI models, input malicious code, or use the Service to make automated decisions that unlawfully discriminate against protected classes.

3. AI and Decision-Making

The Service utilizes advanced Artificial Intelligence to evaluate resumes, conduct interviews, and rank candidates. Customer acknowledges and agrees that the Service provides recommendations, insights, and predictive scores, but does not make final employment decisions.

You maintain complete control over your hiring pipeline. Customer assumes all liability for any hiring, rejection, promotion, or employment decisions made using insights derived from the Service. Kairox explicitly disclaims any liability arising from claims of algorithmic bias or disparate impact.

4. Biometric Data and Privacy

Certain features, such as "Identity & Fraud Verification," may involve processing facial geometry or other biometric identifiers ("Biometric Data").

Customer warrants that before utilizing any identity verification features, Customer will inform the candidate in writing, specify the purpose, and obtain explicitly executed written consent in compliance with applicable laws. For data processing purposes, Customer is the Data Controller and Kairox is the Data Processor.

5. Intellectual Property

Kairox retains all right, title, and interest in and to the Service, its underlying technology, Agentic AI logic, and platform design. Customer retains all rights to the specific data uploaded into the Service ("Customer Data"). Kairox may use aggregated and highly anonymized metadata to train and refine its machine learning models.

6. Limitation of Liability

The service is provided on an "as is" and "as available" basis. Kairox expressly disclaims all warranties of any kind.

To the maximum extent permitted by law, in no event shall Kairox's aggregate liability exceed the total amount paid by Customer to Kairox in the twelve (12) months preceding the incident giving rise to the claim.

7. Indemnification

Customer agrees to defend, indemnify, and hold harmless Kairox from and against any claims, liabilities, and expenses arising out of: Your violation of these Terms, your violation of any applicable labor laws, any claim by a candidate alleging biased hiring practices, or your failure to obtain proper consent for the processing of personal data.
